DOSE DISPENSARY & WHOLESALE PROGRAM TERMS

Last Updated: October 20, 2026

These Dose Dispensary & Wholesale Program Terms (these "Program Terms") are entered into between Eetho Brands, Inc. (d/b/a Dose) ("Dose," "we," "us," or "our"), and the individual or entity that accepts these Program Terms ("Participant," "you," or "your"). These Program Terms govern your participation in the Dose Wholesale Program and the Dose Dispensary Program, as applicable.

You accept these Program Terms by checking the acceptance box presented with them on the registration form on the Dose Site. If you check the Dispensary Program opt-in box at registration, you must also accept the acknowledgment in Part 3 of Schedule A after your account is created. If you accept on behalf of a practice, company or other entity, you represent that you have authority to bind that entity, and "Participant" refers to that entity and to you individually. If you do not accept these Program Terms, you may not participate in either Program.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: PLEASE READ SECTIONS 18.10 THROUGH 18.12 CAREFULLY. EXCEPT AS PROVIDED IN SECTION 18.10, THEY REQUIRE YOU AND DOSE TO RESOLVE ALL DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. BY ACCEPTING THESE PROGRAM TERMS, YOU AND DOSE EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION, AND EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

(q) "Qualifying Purchase" has the meaning given in Section 9.2.

2. Program Structure and Enrollment

2.1 Programs. Dose offers two separate Programs: (a) the "Wholesale Program," under which an approved Participant purchases Products from Dose at wholesale prices for resale to End Customers under Sections 7 and 8; and (b) the "Dispensary Program," under which an approved Participant earns Dispensary Commissions on Qualifying Purchases. Participant elects the Wholesale Program by registering for an account on the Dose Site and accepting these Program Terms. Participant elects the Dispensary Program only by checking the separate Dispensary Program opt-in box on the registration form and accepting the acknowledgment in Part 3 of Schedule A.

2.2 Credential Verification. Each Clinician must accurately identify the Clinician's professional role at registration. Each Participant is solely responsible for determining their eligibility to participate in any Program and whether their participation is permitted under Applicable Law or Participant's Professional Obligations. Dose may approve or decline any application or Program election in its sole discretion, and may limit the Products available to any Participant. Dose’s approval or denial does not obligate Dose to make any determination of whether or not a Program is appropriate for a Participant.

2.3 Account Information and Security. Participant will provide accurate, current and complete information, will keep that information current, and is responsible for all activity in Participant's account. Participant will notify Dose within five (5) business days if Participant is no longer authorized to participate in any Program (e.g., due to any expiration, suspension, revocation, probation, restriction or surrender of any Credential, any investigation, debarment or other similar matter).

2.4 Platform Terms. Participant's use of the Platform is also subject to the Platform's terms of service and privacy policy. As between Dose and Participant, these Program Terms govern Participant's participation in the Programs and control over any conflicting Platform terms.

3. Participant Representations and Responsibility for Compliance

3.1 Representations. Participant represents and warrants to Dose, on acceptance of these Program Terms and on each day that Participant participates in a Program, that: (a) Participant is at least eighteen (18) years of age and a resident of the United States, or, if an entity, is organized and in good standing under the laws of a jurisdiction in the United States; (b) Participant has full right, power and authority to accept and perform these Program Terms; (c) Participant's participation in each Program that Participant elects, including any purchase and resale of Products and any receipt of Dispensary Commissions, does not and will not violate: (i) Applicable Law; (ii) Participant's Professional Obligations; or (iii) any agreement, policy or obligation that binds Participant, including any employment agreement, conflict-of-interest policy, outside-activity policy or payor contract; (d) Participant has not been convicted of a felony or of any crime involving fraud, dishonesty or moral turpitude, and is not subject to any judgment, order, consent decree or settlement finding or admitting false advertising, deceptive practices, counterfeiting, or infringement or misappropriation of intellectual property; and (e) all information that Participant has provided to Dose is true, accurate and complete.

3.2 Participant is Solely Responsible for Compliance. Participant is solely responsible for determining whether Participant's participation in a Program complies with Applicable Law and its Professional Obligations, and for complying with them. Participant acknowledges that Dose: (a) has not provided, and will not provide, legal, regulatory or ethics advice to Participant; (b) has not determined whether Participant's participation in any Program is permitted under Applicable Law or Participant's Professional Obligations; and (c) does not assume any of Participant's obligations by approving Participant's participation in a Program, providing Policies or Dose Approved Claims, or reviewing Content.

3.3 Reports to Dose. Participant will notify Dose at weactuallycare@dosedaily.co within one (1) business day after Participant receives any report of a serious adverse event associated with a Product, and within five (5) business days after Participant receives any other adverse event report, product quality complaint, governmental inquiry or third-party claim relating to a Product or to Participant's Content. Participant will provide the information that Dose reasonably requests, subject to Section 12. Participant will not respond on Dose's behalf to any governmental inquiry concerning a Product.

3.4 Taxes. Participant is responsible for all taxes on Dispensary Commissions and on Participant's resale of Products, including the collection and remittance of sales and use taxes on resales. Participant will provide a completed IRS Form W-9 and any resale or exemption certificate that Dose requests. Dose may withhold payments until Participant provides required tax documentation, and may report payments to taxing authorities as Applicable Law requires.

4. Clinician Obligations

4.1 Scope. This Section 4 applies only to a Participant that registers as a Clinician, in addition to the other provisions of these Program Terms that apply to every Participant.

4.2 Credentials. Each Clinician represents and warrants to Dose, on acceptance of these Program Terms and on each day that the Clinician participates in a Program, that each Credential that the Clinician has submitted is valid, active and unrestricted, and that the Clinician practices within the scope of each Credential.

4.3 Patient Disclosures. Each Clinician will: (a) disclose to each patient or client to whom the Clinician recommends or sells a Product, or provides a Link (if Clinician confirms that Clinician’s participation in the Dispensary Program does not violate Applicable Law or Professional Obligations), the nature of the Clinician's financial interest in the sale, including the Clinician's receipt of Dispensary Commissions or the Clinician's purchase of the Product at wholesale for resale, in the manner and at the time that the Clinician's Professional Obligations require, and in any event before the patient or client purchases the Product; and (b) inform each patient or client that the Products, or equivalent products, are available from other sources, where the Clinician's Professional Obligations require it.

4.4 Professional Judgment. Each Clinician will recommend a Product only when the Clinician determines, in the Clinician's independent professional judgment, that the Product is appropriate for that patient or client, and will not condition any service, appointment or treatment on the purchase of a Product.

4.5 No Reimbursement Claims. No Clinician will submit, or cause to be submitted, any claim for payment or reimbursement for a Product to Medicare, Medicaid, any other federal or state health care program, or any other payor, except as Dose permits in writing.

4.6 Employer and Institutional Approvals. Each Clinician will obtain, before electing a Program, every approval that the Clinician's employer, health system, academic institution or other affiliated organization requires for the Clinician's participation, and will maintain those approvals while participating.

4.7 Use of Credentials and Affiliations. No Clinician will use any Credential, title, or affiliation with an employer, health system or academic institution in Content in a manner that states or implies that the organization endorses Dose or a Product.

5. Dispensary Program Compliance and Content Standards

5.1 Endorsement Disclosures. Participant will comply with the FTC Requirements in all Content that constitutes an endorsement, including Content that Dose supplies to Participant and Content that Participant reposts, shares or republishes. Where Participant endorses any Product, Participant will clearly and conspicuously disclose its material connection with Dose in each item of Content, including Participant's receipt of Dispensary Commissions, wholesale pricing, free or discounted Products, or other compensation, as applicable and in accordance with the FTC Requirements. Each endorsement disclosure must: (a) appear in the Content itself, in the same medium as the endorsement, where an ordinary viewer, reader or listener will notice it; (b) use plain language, such as "I earn a commission when you buy through my link" or "I am a paid Dose partner"; (c) not rely solely on a hashtag, a link to a separate disclosure page, a profile or "bio" statement, or a statement placed after a "more" or similar truncation point; (d) in video, livestream and audio Content, be made orally as well as, for video and livestream Content, in text, and in livestream Content be repeated at reasonable intervals so that a viewer who joins mid-stream will see or hear it; (e) in image-only Content, be superimposed on the image itself; (f) be in the same language as the endorsement; and (g) where Content includes a Link or discount code, appear immediately before or next to the link or code and identify it as a link or code from which Participant earns a commission. Participant will use any paid-partnership disclosure tool that a social media platform offers, in addition to and not in place of the disclosure required by this Section 5.1.

5.2 Product Claims. Participant will make only claims about the Products that are consistent with Dose Approved Claims. Participant will not state or imply that any Product diagnoses, treats, cures, mitigates or prevents any disease or class of diseases, and will not make any claim about a Product that Dose has not provided or approved in writing. Participant will include each disclaimer that Dose requires to accompany a Product claim. Participant will not present a personal result with a Product as typical unless Dose has approved that representation in writing.

5.3 Honest Opinions. Participant's endorsements of Products must reflect Participant's honest opinions, findings, beliefs or experience. Participant will not state or imply that Participant uses a Product unless Participant is a bona fide user of that Product when Participant makes the statement. Participant will not present an endorsement out of context or reword it so that it misrepresents Participant's opinion or experience. If Participant stops using a Product or Participant's opinion of a Product changes, Participant will promptly stop publishing, and will remove or revise, Content that states or implies otherwise.

5.4 Reviews and Testimonials. Participant will comply with the Reviews Rule. Participant will not: (a) write, purchase, procure or publish any review or testimonial of a Product that is not based on the reviewer's actual experience with the Product, or that is attributed to a person who does not exist or who did not have the stated experience; (b) post a review or testimonial of a Product on the Dose Site, a marketplace, an app store or any third-party review site without clearly and conspicuously disclosing Participant's material connection with Dose; (c) offer or provide any payment, free or discounted Product, share of a Dispensary Commission or other incentive to any person in exchange for a review or testimonial that is conditioned, expressly or by implication, on the review expressing a particular sentiment; (d) suppress, remove or threaten any person over a negative review of a Product; or (e) purchase, sell or use bots, fake accounts or hijacked accounts to inflate followers, views, likes or other indicators of social media influence.

5.5 Expert Endorsements. If Content refers to Participant's Credentials, professional title or training, or otherwise presents Participant as an expert, Participant's endorsement must be supported by Participant's actual exercise of that expertise in evaluating the Product, to at least the extent that another person with the same expertise would normally examine the Product to support the conclusions stated, and Participant will not overstate the Credentials or expertise Participant holds.

5.6 Training and Records. Participant will review the disclosure guidance that Dose provides and will complete any compliance training that Dose reasonably requires before publishing Content and as Dose updates that training. Participant will keep a copy of each item of Content, including the disclosure as published, for at least two (2) years after publication and will provide copies to Dose on request.

5.7 Participant Liability. Participant acknowledges that under the FTC Requirements both Dose and Participant may be liable for an endorsement that is deceptive or that omits a required disclosure, that Dose relies on Participant's compliance with this Section 5 in operating the Programs, and that Participant's failure to comply with this Section 5 is a material breach of these Program Terms.

5.8 Content Requirements. All Content must: (a) be truthful, not misleading, and consistent with Dose Approved Claims; (b) be Participant's original work, or include third-party material (including music, images, video and stock photography) only if Participant holds a written license for commercial use of that material; (c) comply with the rules of each platform on which it appears; and (d) comply with the Content Guidelines.

5.9 Prohibited Content. Content must not: (a) encourage use of a Product in excess of, or in combination with other products contrary to, its label directions; (b) feature, or be directed to, individuals under eighteen (18) years of age; (c) disparage any person, competitor or competing product, or make comparative claims about a competing product; (d) include nudity, sexually suggestive material, profanity, hate speech, or depictions of illegal activity; (e) state or imply that Dose endorses any political, religious or social position; or (f) misstate the price of any Product or the terms of any discount or promotion.

5.10 Prohibited Promotion Methods. Participant will not: (a) purchase or bid on any keyword, search term or domain name that consists of or includes a Dose Mark or a confusingly similar term, or use a Dose Mark in any username, handle, page name or domain name; (b) send unsolicited commercial email, text messages or direct messages, or send any commercial email or text message that does not comply with Applicable Law; (c) post Links or discount codes on any coupon, deal, rebate, cash-back or code-aggregation website or browser extension, or on any third-party marketplace; (d) use cookie stuffing, forced clicks, bots, incentivized clicks or any other means to generate artificial traffic, clicks or purchases; (e) make or induce purchases through Participant's own Link for Participant's own use or for resale, or offer any End Customer a rebate or share of a Dispensary Commission; or (f) run paid advertising that includes a Dose Mark without Dose's prior written approval.

5.11 Review and Monitoring. Dose may review and monitor Content and Participant's public social media accounts, websites and other channels. Participant will provide copies of Content and related performance data on Dose's request. Participant will revise or remove any Content within twenty-four (24) hours after Dose's written request. Dose may withhold Dispensary Commissions on purchases attributable to Content that does not comply with these Program Terms.

5.12 Pre-Approval. Dose may require Participant to submit specified categories of Content, including any Content that refers to a Clinician's Credentials or professional practice, for Dose's written approval before publication. Dose's approval of Content does not relieve Participant of its obligations under Section 3, Section 4 or this Section 5.

6. Intellectual Property

6.1 License to Participant. Dose grants Participant a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during Participant's participation in a Program, to use the Dose Marks and the product images, descriptions and other materials that Dose provides for the Programs ("Program Materials") solely to promote and, if Participant is enrolled in the Wholesale Program, resell the Products in accordance with these Program Terms and Dose's brand guidelines. Participant will not alter the Dose Marks or Program Materials, and will not register or attempt to register any Dose Mark or any confusingly similar mark, handle or domain name. All goodwill arising from Participant's use of the Dose Marks inures to Dose.

6.2 Participant Content. Participant retains ownership of the Content it creates. Participant grants Dose a non-exclusive, worldwide, royalty-free license, during Participant's participation in a Program and for twelve (12) months thereafter, to reproduce, display, distribute and share Participant's Content that refers to Dose or a Product, together with Participant's name, handle and likeness as they appear in that Content, on Dose's websites and social media accounts. When Dose shares Participant's Content, Dose will clearly and conspicuously disclose its relationship with Participant. Dose will not use a Clinician's Credentials, professional title or practice affiliation in Dose's own advertising unless the Clinician agrees to that use in a separate written agreement.

6.3 Feedback. Dose may use any suggestion or feedback that Participant provides about the Programs or the Products without restriction or compensation.

7. Wholesale Program

7.1 Orders. Participant places orders through the Dose Site. Each order is an offer to purchase. Dose may accept or decline any order in whole or in part. An order is accepted when Dose confirms acceptance. Dose may, at any time and without liability to Participant, discontinue or limit the production or sale of any Product, terminate or limit deliveries of any Product, change the formulation, design or packaging of any Product, and add Products to or remove Products from the Products available through the Wholesale Program.

7.2 Pricing. Participant will pay the wholesale prices displayed on the Dose Site when Participant places the order. Dose may change wholesale prices at any time, but a price change does not apply to an accepted order. Dose reserves the right to require minimum purchase order terms for Wholesale Program Participants.

7.3 Payment and Taxes. Payment is due when Participant places the order unless Dose agrees otherwise in writing. Prices exclude shipping, handling and taxes. Participant will provide a valid resale certificate for each jurisdiction in which it resells Products. If Participant does not provide a valid resale certificate, Dose will charge applicable sales tax.

7.4 Shipping, Title and Risk of Loss. Delivery dates are estimates. Title and risk of loss pass to Participant when Dose delivers the Products to the carrier. Participant will inspect each shipment on receipt and notify Dose of any damaged, missing or incorrect Products within seven (7) business days after delivery. Products not rejected within that period are accepted.

7.5 Returns. Returns are governed by the Dose Wholesale Return Policy. Dose will replace or credit Products that are damaged in shipment or shipped in error and that Participant reports under Section 7.4. [Dose will issue a Product credit for an opened Product that an End Customer returns because the End Customer did not tolerate the Product or had a clinical complaint, if Participant reports the complaint to Dose under Section 3.3 and Dose approves the return.] Participant is solely responsible for any refund, exchange or other remedy that Participant offers to its End Customers.

8. Authorized Resale

8.1 Permitted Resale. Participant may resell Products only to End Customers, and only: (a) in person at Participant's practice or business location; or (b) through a website that Participant owns and operates, if Dose has approved that website in writing.

8.2 Resale Restrictions. Participant will not: (a) sell Products to any person that Participant knows or has reason to believe intends to resell them; (b) sell Products through Amazon, eBay, Walmart Marketplace, TikTok Shop, or any other third-party marketplace or auction site; (c) sell or ship Products outside the United States; or (d) sell Products to any wholesaler, distributor, retailer or other reseller.

8.3 Resale Pricing. Participant determines its own resale prices. Dose may publish a manufacturer's suggested retail price ("MSRP") for each Product on the Dose Site. MSRP is a suggestion only, and Participant remains free to sell above or below it. Dose reserves the right, in its sole discretion, to decline any order from, limit the Products available to, or terminate the participation in the Wholesale Program of, any Participant that sells a Product below MSRP. Nothing in this Section 8.3 is an agreement by Participant concerning the prices at which Participant will sell Products.

8.4 Product Integrity. Participant will: (a) sell Products only in their original, sealed and unaltered packaging, with all labels, lot codes and expiration dates intact; (b) not repackage, relabel, split, compound or alter any Product, or affix any sticker, label or marking to any Product; (c) store Products in accordance with their label directions; and (d) not sell any Product after its expiration or best-by date.

8.5 Records and Recalls. Participant will keep records sufficient to identify, by lot number, the End Customers to whom Participant sells Products, for at least two (2) years after each sale. If Dose initiates a recall, market withdrawal or stop-sale, Participant will immediately stop selling the affected Products, follow Dose's instructions, and notify affected End Customers as Dose reasonably directs. Dose will bear Participant's reasonable, documented out-of-pocket costs of a recall that results from a failure of the Products, as delivered by Dose, to conform to the warranty in Section 8.6.

8.6 Limited Product Warranty. Dose warrants to Participant that the Products, when Dose delivers them to the carrier: (a) conform to their label specifications; (b) are not adulterated or misbranded under the Federal Food, Drug, and Cosmetic Act; and (c) have been manufactured in accordance with the current good manufacturing practice requirements applicable to dietary supplements. Participant's sole remedy for breach of this warranty is, at Dose's option, replacement of the non-conforming Products or a credit or refund of the price Participant paid for them. This warranty does not apply to any Product that Participant or any third party has altered, mishandled or improperly stored, or that Participant sells in violation of these Program Terms.

8.7 No Commission on Wholesale Purchases. No Dispensary Commission is payable on any wholesale purchase by Participant or on any resale of Products by Participant.

9. Dispensary Program Terms

9.1 Link Issuance. Dose or the Platform will issue Links to each Participant enrolled in the Dispensary Program. Participant will use only the Links issued to Participant and will not alter them. Dose may authorize Participant to offer End Customers a discount through Participant's Link. Participant will not offer any discount, rebate or incentive other than the one Dose authorizes.

9.2 Qualifying Purchase. A "Qualifying Purchase" is a purchase of Products on the Dose Site that:

(a) is made by an End Customer other than Participant or a member of Participant's household;

(b) the Platform attributes to Participant's Link under the attribution rules and attribution window stated in the Commission Schedule;

(c) is paid for and shipped; and

(d) is not cancelled, returned, refunded or charged back, and is not identified by Dose as fraudulent or as resulting from a breach of these Program Terms.

9.3 Tracking. Dose's and the Platform's tracking records determine, absent manifest error, whether a purchase is a Qualifying Purchase and the amount of each Dispensary Commission. Dose is not responsible for a purchase that is not tracked because of an End Customer's browser settings, ad blockers or device changes, or because of a Platform outage.

9.4 Dispensary Commission Rate. Dose will pay Participant a Dispensary Commission equal to the percentage of Net Sales stated in the Commission Schedule in effect on the date of the Qualifying Purchase. "Net Sales" means the amount the End Customer actually pays for the Products in a Qualifying Purchase, excluding taxes, shipping and handling charges, and gift card purchases, and net of discounts, credits and refunds.

9.5 Payment. Dose will pay Dispensary Commissions [monthly] through the Platform, within [thirty (30)] days after the end of the month in which the return period for the Qualifying Purchase ends. Dose will carry forward any balance below $[25] until the balance reaches that amount or Participant's participation in the Dispensary Program ends.

9.6 Reversals. If a Qualifying Purchase is later cancelled, returned, refunded or charged back, or is determined to have resulted from a breach of these Program Terms, Dose may deduct the related Dispensary Commission from future payments or require Participant to repay it within thirty (30) days after Dose's request.

9.7 Changes to Commission Schedule. Dose may change the Commission Schedule on at least fifteen (15) days' notice to Participant. A change applies only to Qualifying Purchases made on or after its effective date.

9.8 Forfeiture. Participant forfeits any unpaid Dispensary Commission on a Qualifying Purchase attributable to Content or conduct that breaches these Program Terms.

9.9 Sole Compensation. Dispensary Commissions are Participant's sole compensation under the Dispensary Program. Dose does not pay any posting fee, expense reimbursement, or compensation for a referral that is not a Qualifying Purchase, unless Dose agrees otherwise in a separate written agreement.

10. Term and Termination. These Program Terms apply from Participant's acceptance until Participant's participation in every Program ends. Either party may terminate Participant's participation in either or both Programs for any reason on ten (10) days' notice to the other party. Dose may suspend or terminate Participant's participation in either or both Programs immediately on notice if: (a) Participant breaches these Program Terms; (b) any Credential expires or becomes restricted, or Participant becomes subject to any proceeding or exclusion described in Section 2.3; (c) Dose determines that Participant's participation, Content or conduct is likely to expose Dose to liability or harm Dose's reputation; or (d) Dose discontinues the Program. On termination of Participant's participation in a Program, Participant will stop using the Links and the Dose Marks for that Program, remove Content that refers to Dose or a Product within five (5) days after Dose's request, and pay all amounts owed to Dose. Dose will pay Dispensary Commissions on Qualifying Purchases made before termination, unless Dose terminates these Program Terms under clause (a), (b) or (c) of this Section 10. On termination of Participant's participation in the Wholesale Program, Dose may fill or cancel accepted orders, and Participant may sell its remaining inventory of Products to End Customers in accordance with Section 8 for up to ninety (90) days. Sections 3.3 and 3.4, Section 6.3, Sections 8.4 through 8.6, Section 9.6, this Section 10, and Sections 11 through 18 survive termination.

11. Relationship of the Parties. Dose and Participant are independent contractors. These Program Terms do not create any partnership, joint venture, agency, franchise, sales representative or employment relationship. Participant has no authority to make any representation or commitment on Dose's behalf and will not represent to any person that it has that authority. Participant is responsible for its own employees and personnel and for their compliance with these Program Terms.

12. Confidentiality. Wholesale prices, Commission Schedule terms not published on the Dose Site, unreleased Product information, Program performance data, and other non-public information that Dose discloses to Participant are Dose's confidential information. Participant will use Dose's confidential information only to participate in the Programs, will not disclose it to any third party other than Participant's personnel and advisors who need to know it and are bound by confidentiality obligations, and will protect it with at least reasonable care. These obligations do not apply to information that is or becomes public through no fault of Participant, that Participant lawfully received from a third party without a confidentiality obligation, or that Participant must disclose by law, provided that Participant gives Dose prompt notice of any required disclosure where the law permits.

13. Privacy and Patient Information. Each party will comply with Applicable Law governing the personal information it collects and uses in connection with the Programs. Participant will not disclose to Dose any information that identifies a patient or client together with information about that individual's health, diagnosis or treatment, except the minimum information that Applicable Law permits Participant to disclose in an adverse event report under Section 3.3. Dose does not perform any function or activity on Participant's behalf that involves the use or disclosure of Participant's patient health information, and Dose is not Participant's business associate. Dose processes the personal information that Participant provides, including Credentials, in accordance with Dose's privacy policy posted on the Dose Site, and may share that information with the Platform and with service providers that process payments or administer the Programs.

14. Disclaimers. EXCEPT FOR THE LIMITED WARRANTY IN SECTION 8.6, THE PROGRAMS, THE PLATFORM, THE PROGRAM MATERIALS AND THE PRODUCTS ARE PROVIDED "AS IS," AND DOSE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. DOSE DOES NOT GUARANTEE ANY LEVEL OF SALES, DISPENSARY COMMISSIONS OR INCOME, OR THE UNINTERRUPTED OPERATION OF THE DOSE SITE OR THE PLATFORM.

15. Limitation of Liability. EXCEPT AS PROVIDED BELOW, NEITHER PARTY IS LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DISPENSARY COMMISSIONS OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE PROGRAM TERMS OR THE PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. DOSE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE PROGRAM TERMS AND THE PROGRAMS WILL NOT EXCEED THE GREATER OF (A) THE DISPENSARY COMMISSIONS PAID OR PAYABLE TO PARTICIPANT AND (B) THE AMOUNTS PARTICIPANT PAID TO DOSE FOR PRODUCTS, IN EACH CASE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. Notwithstanding the foregoing, nothing in this Section 15 limits Participant's liability with respect to its indemnification obligations under Section 16, or Participant's liability for breach of Section 3, Section 4, Section 5, Section 8.2, Section 8.4, Section 12 or Section 13.

16. Indemnification and Insurance. Participant will defend, indemnify and hold harmless Dose and its affiliates, licensors and service providers, and their respective officers, directors, employees and agents, from and against all third-party claims, and all resulting damages, losses, liabilities, penalties, costs and expenses (including reasonable attorneys' fees), arising out of or relating to: (a) Participant's Content, or Participant's use of any social media platform, website or other channel; (b) Participant's participation in any Program; (c) Participant's breach of these Program Terms or of any representation or warranty in them; (d) Participant's violation of Applicable Law or of Participant's Professional Obligations; (e) any professional service, advice or recommendation that Participant provides to any patient or client; (f) Participant's resale, handling, storage or alteration of Products; (g) Participant's failure to pay or remit any tax; or (h) the negligence or willful misconduct of Participant or its personnel. Dose will give Participant prompt notice of each claim. A delay in notice relieves Participant of its obligations only to the extent the delay prejudices Participant. Participant will assume control of the defense and settlement of the claim, and Dose will cooperate at Participant's expense. Participant will not settle any claim in a manner that admits fault of, or imposes a non-monetary obligation on, Dose without Dose's written consent, which it will not unreasonably withhold. Each Clinician will maintain professional liability insurance in the amounts that Applicable Law and the Clinician's Professional Obligations require. Each Participant enrolled in the Wholesale Program will maintain commercial general liability insurance, including products-completed operations coverage, of at least $1,000,000 per occurrence, and will provide a certificate of insurance on Dose's request.

17. Modifications. Dose may modify these Program Terms or any Policy by posting the modified version on the Dose Site or the Platform and notifying Participant by email or through the Platform. A modification that reduces Participant's compensation or adds obligations to Participant takes effect fifteen (15) days after notice. Any other modification takes effect when posted. A modification does not apply to an order accepted, or a Qualifying Purchase made, before its effective date. Participant's continued participation after a modification takes effect constitutes acceptance of it. If Participant does not accept a modification, Participant's sole remedy is to terminate its participation in the Program.

18. General

18.1 Governing Law and Venue. These Program Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of Section 18.10. Subject to Section 18.10, each party submits to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, for any action arising out of or relating to these Program Terms or the Programs that is not subject to arbitration, and for any action to compel arbitration or to enter judgment on an arbitration award, except that Dose may seek injunctive relief in any court of competent jurisdiction to protect the Dose Marks or its confidential information.

18.2 Notices. Dose may give notice to Participant by email to the address in Participant's account or through the Platform. Participant will give notice to Dose by email to hcpteam@dosedaily.co. Notice is effective when sent, unless the sender receives an automated notice of non-delivery.

18.3 Entire Agreement; Order of Precedence. These Program Terms, Schedule A and the Policies are the entire agreement between Dose and Participant concerning the Programs and supersede all prior agreements and understandings concerning the Programs. Participant's use of the Dose Site is also subject to the Dose Site terms of service. In the event of a conflict, the following documents control in the following order: (a) these Program Terms; (b) Schedule A; (c) the Policies; (d) the Dose Site terms of service; and (e) the Platform terms.

18.4 Assignment. Participant may not assign or delegate these Program Terms or any right or obligation under them without Dose's prior written consent. Dose may assign these Program Terms without consent. Any assignment in violation of this Section 18.4 is void.

18.5 Severability. If any provision of these Program Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

18.6 Waiver. A waiver is effective only if in writing. A failure or delay in enforcing any provision is not a waiver of that provision or any other provision.

18.7 No Third-Party Beneficiaries. Except for the indemnified persons under Section 16, these Program Terms create no rights in any third party.

18.8 Electronic Acceptance. Participant's electronic acceptance of these Program Terms and of each acknowledgment in Schedule A has the same effect as a handwritten signature. Dose will keep a record of each acceptance, including the date, time and version accepted.

18.9 Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Program Terms will not be construed against either party as the drafter.

18.10 Binding Arbitration. Except as provided in this Section 18.10, any dispute, claim or controversy arising out of or relating to these Program Terms, the Programs, the Products or the relationship between Dose and Participant, including any dispute concerning the formation, existence, scope, validity, interpretation, enforceability or termination of these Program Terms (each, a "Dispute"), will be resolved exclusively by final and binding arbitration. Before commencing arbitration, a party will give the other party written notice describing the Dispute, and the parties will attempt in good faith to resolve the Dispute informally for thirty (30) days after that notice. The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect (the "AAA Rules") and conducted before a single arbitrator in Miami-Dade County, Florida, or, at either party's election, by video conference or on written submissions. The arbitrator, and not any court, has exclusive authority to resolve any Dispute concerning the formation, scope, applicability, enforceability or validity of this Section 18.10, except that a court has exclusive authority to determine the enforceability of Section 18.11. The arbitrator may award any relief that a court could award to an individual party, but only to the extent necessary to provide relief warranted by that party's individual claim, and will issue a reasoned written decision. Each party will bear its own attorneys' fees and costs, and the parties will share equally the AAA's administrative fees and the arbitrator's compensation, unless the arbitrator awards otherwise under Applicable Law or the AAA Rules. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may: (a) bring an individual action in small claims court for a Dispute within that court's jurisdiction; and (b) seek temporary, preliminary or permanent injunctive relief in a court of competent jurisdiction to protect its intellectual property, including the Dose Marks, or its confidential information, pending or in lieu of arbitration.

18.11 Class Action Waiver. EACH PARTY WILL BRING ANY DISPUTE ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS OR REPRESENTATIVE PROCEEDING, WHETHER IN ARBITRATION OR IN COURT. The arbitrator may not consolidate the claims of more than one person, may not preside over any form of class, collective, consolidated or representative proceeding, and may not award relief to or for the benefit of anyone other than an individual party. If a court finally determines, after all appeals, that this Section 18.11 is unenforceable as to any claim or request for relief, that claim or request for relief (and only that claim or request for relief) will be severed and decided by a court under Section 18.1 after the arbitration of all other claims, and the remainder of Section 18.10 will remain in effect.

18.12 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE PROGRAM TERMS, THE PROGRAMS OR THE PRODUCTS, INCLUDING ANY DISPUTE THAT IS NOT SUBJECT TO ARBITRATION UNDER SECTION 18.10 OR THAT OTHERWISE PROCEEDS IN COURT. EACH PARTY ACKNOWLEDGES THAT THIS WAIVER IS A MATERIAL INDUCEMENT TO THE OTHER PARTY TO ENTER INTO THESE PROGRAM TERMS.

SCHEDULE A

PARTICIPANT ACKNOWLEDGMENTS

Part 1 – Clinician Acknowledgment (All Clinicians)

Before you complete registration, please confirm the following:

☐ I have accurately identified my professional role and Credentials, and I will notify Dose within five (5) business days if any Credential expires or becomes restricted.

☐ I am solely responsible for determining whether my participation in each Program in which I participate is permitted by the laws, licensing board rules, professional codes of ethics, and employer or institutional policies that apply to me, and for complying with them. Dose has not made that determination for me and does not provide legal or ethics advice.

☐ I will disclose my financial relationship with Dose to my patients and clients, and in all promotional content, as the Program Terms require.

☐ I will not seek payment or reimbursement for Dose products from Medicare, Medicaid or any other health care program or payor, except as Dose permits in writing.

☐ I understand that registration creates my Wholesale Program account, and that I am enrolled in the Dispensary Program only if I check the separate Dispensary Program opt-in box and accept the Dispensary Program acknowledgment.

Part 2 – Additional Acknowledgment (M.D. and D.O. License Holders)

You have indicated that you hold an M.D. or D.O. license. Professional ethics standards for physicians, including the American Medical Association Code of Medical Ethics, state medical board rules, and the policies of your employer or institution, may restrict or place conditions on a physician's sale of health-related products to patients, whether the products are sold from an office or website or recommended in exchange for compensation such as a commission. Those conditions may include disclosing your financial interest to patients and informing patients that the products, or equivalent products, are available elsewhere. Before you continue, please confirm the following:

☐ I have reviewed the ethics standards, medical board rules, and employer or institutional policies that apply to me, and I am permitted to purchase products for resale to patients (if I purchase products under the Wholesale Program) and to receive commissions (if I opt in to the Dispensary Program).

☐ I will comply with every condition that those standards, rules and policies place on my participation, including any requirement to disclose my financial interest to patients and to inform patients that the products, or equivalent products, are available elsewhere.

☐ If I am not permitted to receive commissions, I will not check the opt-in box for the Dispensary Program.

Part 3 – Dispensary Program Acknowledgment (All Participants Who Opt In to the Dispensary Program)

You checked the Dispensary Program opt-in box at registration. Before Dose enrolls you in the Dispensary Program, please confirm the following:

☐ I elect to participate in the Dispensary Program, and I agree to the Program Terms as they apply to the Dispensary Program, including Section 5 (Dispensary Program Compliance and Content Standards) and Section 9 (Dispensary Program Terms).

☐ I will clearly and conspicuously disclose my material connection with Dose, including that I earn a commission, in each item of Content, in the manner Section 5.1 requires.

☐ I will make only claims about Dose products that are consistent with Dose Approved Claims, and I will not state or imply that any Dose product diagnoses, treats, cures, mitigates or prevents any disease.

☐ I understand that I earn Dispensary Commissions only on Qualifying Purchases, at the rate stated in the Commission Schedule, and that I do not earn Dispensary Commissions on my own purchases or on wholesale purchases.

☐ I am solely responsible for determining whether my receipt of Dispensary Commissions is permitted by the laws, licensing board rules, professional codes of ethics, and employer or institutional policies that apply to me, and for complying with them.
